These Terms of Service ("Terms") govern your access to and use 
of the website ignite-ecommerce.com ("the Website") and the 
consulting services provided by Ignite Ecommerce, a trading name 
of BREAK RULES LIMITED, a company incorporated in Hong Kong SAR 
("we", "us", or "our").

By accessing the Website or engaging our services, you agree to 
be bound by these Terms. If you do not agree, please do not use 
the Website or our services.

1. Services

Ignite Ecommerce provides consulting services to e-commerce 
businesses, including but not limited to store optimisation, 
paid media strategy, conversion rate optimisation, and 
operational consulting. The specific scope, deliverables, 
timeline, and fees for each engagement will be defined in a 
separate proposal, statement of work, or service agreement 
("Engagement Agreement").

In case of conflict between these Terms and an Engagement 
Agreement, the Engagement Agreement shall prevail with respect 
to that engagement.

2. Eligibility

Our services are intended for businesses and individuals aged 
18 or over. By engaging our services, you represent that you 
have the legal capacity to enter into binding contracts.

3. Fees and Payment

Fees for services are specified in each Engagement Agreement. 
Unless otherwise stated:

- Invoices are payable within 14 days of issue.
- All fees are exclusive of applicable taxes, which are the 
client's responsibility.
- Late payments may be subject to interest at a rate of 1.5% 
per month or the maximum allowed by law, whichever is lower.
- Retainer or recurring fees are non-refundable once services 
have been rendered for the corresponding period.

4. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

- Provide accurate, complete, and timely information, access, 
and materials reasonably required.
- Designate a point of contact authorised to make decisions on 
behalf of your business.
- Pay all fees as agreed.
- Comply with applicable laws and regulations relevant to your 
business activities.

Delays caused by failure to provide required information or 
access may extend timelines and are not grounds for refund.

5. Intellectual Property

All materials, frameworks, methodologies, templates, and other 
intellectual property developed or provided by Ignite Ecommerce 
remain our exclusive property unless explicitly transferred in 
writing.

Upon full payment, you receive a non-exclusive, non-transferable 
licence to use deliverables specifically created for your 
engagement, solely for your internal business purposes.

You retain ownership of any pre-existing materials you provide 
to us, and grant us a limited licence to use such materials 
solely for the purpose of delivering the services.

6. Confidentiality

Both parties agree to keep confidential any non-public 
information shared during the engagement and to use such 
information solely for the purpose of performing the services. 
This obligation survives termination of the engagement.

7. No Guarantee of Results

Our services are advisory in nature. While we apply industry 
best practices and our professional expertise, we do not 
guarantee specific outcomes, revenue increases, conversion 
improvements, or business results. Outcomes depend on multiple 
factors outside our control, including market conditions, 
client implementation, and product-market fit.

8. Limitation of Liability

To the maximum extent permitted by law:

- Our total liability arising out of or relating to these Terms 
or any engagement shall not exceed the total fees paid by the 
client for the specific engagement giving rise to the claim 
during the three (3) months preceding the event.

- We shall not be liable for any indirect, incidental, 
consequential, special, or punitive damages, including but not 
limited to lost profits, lost revenue, loss of data, or 
business interruption.

9. Termination

Either party may terminate an engagement:

- For convenience, with 14 days' written notice. Fees for work 
performed up to the termination date remain payable.

- For cause, immediately, in case of material breach not 
remedied within 14 days of written notice.

Upon termination, you remain liable for fees due for services 
already rendered.

10. Third-Party Tools and Platforms

Our services may involve recommendations or work with 
third-party tools and platforms (e.g. Shopify, Meta, Google, 
Klaviyo, etc.). We are not responsible for the availability, 
performance, pricing changes, or terms of such third parties. 
Your use of those platforms is governed by their respective 
terms.

11. Website Use

You agree to use the Website lawfully and not to:

- Attempt to gain unauthorised access to any part of the 
Website or its systems.
- Interfere with or disrupt the Website's operation.
- Use automated tools to scrape, copy, or harvest content.
- Use the Website to transmit harmful code, spam, or unlawful 
content.

We reserve the right to suspend or terminate access to the 
Website at our discretion.

12. Disclaimers

The Website and any content provided are made available on an 
"as is" and "as available" basis. We make no warranties, 
express or implied, regarding the accuracy, completeness, 
reliability, or suitability of any information for your 
particular purpose.

13. Indemnification

You agree to indemnify and hold harmless Ignite Ecommerce, 
BREAK RULES LIMITED, and our affiliates, officers, and 
representatives from any claims, damages, or expenses arising 
from your breach of these Terms, your use of the services, or 
your violation of any law or third-party rights.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special 
Administrative Region. Any dispute arising out of or relating 
to these Terms or any engagement shall be subject to the 
exclusive jurisdiction of the courts of Hong Kong SAR.

15. Changes to These Terms

We may update these Terms from time to time. The updated 
version will be indicated by the "Last updated" date at the 
top of this page. Continued use of the Website or our services 
after changes are posted constitutes acceptance of the revised 
Terms.
